Terms of Use

These Terms of Use (“Terms”) describe the conditions for accessing and using the website operated by Sapper Advanced Technologies LLC (“Sapper,” “we,” “us,” or “our”). They cover the website and its inquiry forms. They do not govern a completed purchase, manufacturing order, or services agreement, which are addressed in separate written contracts.

By accessing or using this website, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree with these Terms, do not use the website or submit a request through it.

1. Scope and acceptance

These Terms form a binding agreement between you and Sapper Advanced Technologies LLC concerning your use of this website. Please read them together with our Privacy Policy before submitting information.

If you submit information on behalf of an employer, customer, or other organization, you represent that you have authority to do so and to bind that organization to these Terms. References to “you” include the person using the website and, where applicable, the organization that person is authorized to represent.

You must be at least 18 years of age, or the age of majority in your jurisdiction, to submit business inquiries through this website. The website is intended for business and professional use, not for use by children.

2. Company and contact information

The website is operated by Sapper Advanced Technologies LLC, located at 4239 U.S. 23, Piketon, OH 45661, United States of America. Questions about these Terms or use of the website may be sent to info@sappersolution.com or discussed by calling 740-259-5954.

A reference to a group company or partner does not mean that every company provides the same services or accepts responsibility for another company’s obligations. The party responsible for a particular project should be identified in its written agreement.

3. Website information and project examples

Website content is provided for general information about Sapper’s work and capabilities. Photographs, examples, and descriptions help illustrate the type of work discussed; they are not a promise that a particular design, material, process, production quantity, or delivery date will be available for your project.

Items explicitly marked as awaiting confirmation are not verified specifications or approved claims. Do not rely on those items as evidence of certification, regulatory compliance, inspection requirements, equipment capacity, or suitability for a particular application. Request written confirmation of any requirement important to your project.

Technical content on the website is not a substitute for project-specific engineering, safety assessment, or professional advice. Product suitability depends on the actual application, load, handling conditions, operating environment, and approved specifications.

While we work to keep website information accurate and current, we do not warrant that any content is complete, reliable, or error-free, and we may correct or update content at any time without notice.

4. Inquiries, quotes, and orders

Submitting a quote request, contact message, drawing, or attachment is an inquiry only. It does not create a contract, reserve production capacity, confirm pricing, or establish a delivery commitment. A confirmation shown after a form submission acknowledges receipt by the website; it does not mean that Sapper has accepted the project.

Any proposed work is subject to review of the application and agreement on scope. Pricing, payment arrangements, delivery, inspection criteria, acceptance, warranties, and other commercial conditions must be addressed in the applicable written quote or agreement. These website Terms do not replace or modify a signed project agreement, and in the event of a conflict, the signed project agreement controls.

Please provide accurate contact information and describe important constraints. If a drawing, quantity, deadline, or specification changes after you submit an inquiry, tell Sapper before relying on earlier discussions or estimates.

Quotes and estimates communicated outside a signed agreement are invitations to negotiate, not offers capable of acceptance, and may be revised or withdrawn before a written agreement is executed.

5. Drawings, files, and other submitted materials

You retain ownership of drawings, photographs, specifications, and other materials you submit. You represent and warrant that you own the materials you submit or are authorized to share them, and that you have permission from any customer or other rights holder whose information is included.

By submitting materials for an inquiry, you grant Sapper a limited, non-exclusive, royalty-free permission to access, store, and review them for the purpose of evaluating and responding to that inquiry. This permission is not a transfer of ownership and does not authorize public display of your files.

Do not upload malicious software, unrelated files, or materials that infringe another person’s rights. Avoid including passwords, financial account details, personal identifiers, or other sensitive information that is unnecessary for reviewing the project.

You agree to indemnify and hold Sapper harmless from claims arising out of materials you submit without the necessary rights or permissions, to the extent permitted by applicable law.

6. Confidentiality and controlled information

Uploaded drawings and technical files are stored in access-controlled private storage and are not published as website content. That storage arrangement is not, by itself, a signed nondisclosure agreement or a guarantee that the website is appropriate for every category of confidential information.

If your project requires a nondisclosure agreement, discuss and complete it before sending the protected material. Do not use ordinary website forms to transmit classified information, export-controlled technical data, or other regulated information unless Sapper has first confirmed an authorized method for receiving it.

You are responsible for identifying special restrictions that apply to your materials, including restrictions under the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or similar controls. Sapper and the customer should agree on handling requirements before restricted information is exchanged.

7. Acceptable use

Use the website for lawful purposes and genuine business inquiries. You must not impersonate another person, provide deliberately misleading information, send unsolicited bulk messages, or use the forms to harass others or distribute unlawful content.

You must not attempt to obtain unauthorized access to staff accounts, private submissions, uploaded files, or systems connected to the website. Do not probe for vulnerabilities without permission, bypass access controls, introduce harmful code, or interfere with the website’s operation.

Do not use automated activity that creates excessive load, disrupts normal use, scrapes content at scale, or collects private information. These Terms do not restrict rights that applicable law expressly protects.

We may suspend or block access to the website for any user who violates these Terms, where permitted by law, and may report unlawful activity to the appropriate authorities.

8. Intellectual property

The Sapper name, logo, and original website content — including text, photographs, graphics, and design — are owned by Sapper Advanced Technologies LLC or used with the permission of their respective owners, and are protected by United States and international copyright, trademark, and other intellectual property laws. Partner names, marks, and linked materials remain the property of their respective owners.

You may view the website and retain reasonable copies for internal evaluation of Sapper’s services. Unless you have written permission or applicable law allows it, do not republish website photographs, reproduce branding for commercial use, create derivative works from website content, or imply that Sapper endorses your organization or product.

Nothing in these Terms transfers rights in your submitted materials to Sapper, or transfers rights in Sapper’s or a partner’s intellectual property to you. All rights not expressly granted are reserved.

9. Copyright concerns (DMCA)

We respect the intellectual property rights of others. If you believe that content on this website infringes your copyright, you may notify us in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) by sending a written notice to info@sappersolution.com that includes: identification of the copyrighted work; identification of the material claimed to be infringing and its location on the website; your name, address, telephone number, and email address; a statement that you have a good-faith belief that the use is not authorized; a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf; and your physical or electronic signature.

We will review valid notices and, where appropriate, remove or disable access to the material in question.

10. Third-party websites and services

The website may link to partner companies and other third parties, or include services such as maps. Those websites and services are operated independently and may have their own terms and privacy policies. Review those policies before providing information to them.

A link is provided for reference and does not guarantee the accuracy, availability, security, or suitability of the linked content. The description of a partner should not be interpreted as a warranty of that partner’s products or services. Sapper is not responsible for the content, policies, or practices of third-party websites.

11. Privacy and newsletter communications

Our Privacy Policy describes how information submitted through the website is handled. These Terms do not replace that policy or any separate consent you give for email communications.

Submitting a quote request or contact message does not subscribe you to the newsletter. Newsletter consent is separate and voluntary. If you want to withdraw newsletter consent or ask about your information, contact info@sappersolution.com. No fixed newsletter frequency is promised.

12. Availability and changes to the website

The website may occasionally be unavailable because of maintenance, technical problems, or factors outside Sapper’s control. Information may be corrected, updated, or removed as capabilities and approved content change.

Do not use the website as an emergency reporting channel. If you are unable to submit a business inquiry online, contact Sapper by phone or email. Website availability does not establish any promised response time or project lead time.

13. Website disclaimers

To the maximum extent permitted by applicable law, the website and its general information are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sapper does not promise that the website will always be uninterrupted, secure, error-free, or suitable for a particular purpose.

These website disclaimers concern use of the website only. They do not override an express warranty, obligation, or remedy established in a separate written project agreement, or exclude rights that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by applicable law, Sapper and its officers, employees, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or lost business opportunities — arising solely from use of, or inability to use, the website or its general information, even if advised of the possibility of such damages.

Nothing in these Terms is intended to exclude or limit liability that applicable law does not allow to be excluded or limited. Responsibility for manufactured products, services, and project performance belongs in the applicable commercial agreement, not in this website document.

15. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Sapper Advanced Technologies LLC from and against claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the website, your violation of these Terms, or your submission of materials without the necessary rights or permissions.

16. Governing law and venue

These Terms and any dispute arising out of or relating to the website are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules, and subject to any mandatory protections or requirements of applicable law.

Subject to applicable law, the state and federal courts located in or serving Pike County, Ohio, are the exclusive venue for disputes arising out of these Terms or use of the website, and you consent to the personal jurisdiction of those courts. Before escalating a concern about the website, please contact Sapper so the issue can be reviewed in good faith.

17. Force majeure

Sapper is not responsible for any failure or delay in operating the website caused by events beyond its reasonable control, including natural disasters, severe weather, fire, power or telecommunications failures, labor disputes, acts of government, epidemics, war, or terrorism.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without Sapper’s prior written consent. Sapper may assign these Terms in connection with a merger, reorganization, or sale of substantially all of its assets, subject to applicable law.

19. No waiver and severability

A failure or delay by Sapper to enforce any provision of these Terms is not a waiver of that provision or of the right to enforce it later.

If a provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect to the extent permitted by law.

20. Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Sapper concerning use of the website, and supersede any prior understandings about the website. Any waiver or variation of project-specific obligations must be addressed by the parties to that project in writing.

21. Updates to these Terms

Sapper may update these Terms as the website or applicable requirements change. The version posted on the website is the version in effect. Your continued use of the website after an update takes effect constitutes acceptance of the updated Terms. A later website update does not automatically amend a separate signed project agreement.

22. Questions and concerns

For questions about website content, submitted files, permitted use, or these Terms, contact Sapper Advanced Technologies LLC at info@sappersolution.com or 740-259-5954. Include enough information to identify the page or inquiry concerned, but do not send sensitive technical information until an appropriate handling method has been agreed.
